1. Definitions
In these Terms, the following words have the meanings set out below:
- "Company," "we," "us," "our" refers to Dot Labs Web Solutions Private Limited, a company incorporated under the laws of India, with its registered office at Plot No. 27, Jubilee Enclave, Hyderabad, Telangana 500081.
- "Platform" refers to the Upaj web application available at upaj.com, including all associated services, APIs, and documentation.
- "User," "you," "your" refers to any individual or entity that accesses or uses the Platform.
- "Account" refers to the workspace created upon registration, which may contain multiple Users with different roles.
- "Content" refers to all data, text, files, documents, and information uploaded, entered, or generated by Users on the Platform.
- "Subscription" refers to the paid or free plan under which a User accesses the Platform.
- "Services" refers to all features and functionality provided through the Platform.
2. Acceptance of Terms
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Platform.
3. Eligibility and Account Registration
- You must be at least 18 years of age to use the Platform.
- You must provide accurate and complete information during registration and keep it updated.
- You are responsible for maintaining the confidentiality of your login credentials.
- Each Account must be associated with a valid email address. One email address may only be linked to one User profile.
- You must promptly notify us of any unauthorised access to your Account.
4. User Roles and Responsibilities
The Platform supports multiple user roles within an Account. The Account Owner (Super Admin) is responsible for managing access:
- Super Admin (Account Owner): Full access to all features, settings, billing, and user management. Responsible for the Account and all activity within it.
- Portfolio Manager: Manages assigned portfolios, properties, leases, and financial records within their scope.
- Supervisor: Read and limited write access to assigned portfolios and properties.
- Accountant: Access to invoicing, payments, GST reports, and compliance features.
- Auditor: Read-only access to financial records, reports, and audit logs.
The Account Owner is responsible for assigning appropriate roles, ensuring team members understand their responsibilities, and revoking access when team members leave.
5. Scope of Services
Upaj provides the following core features:
- Tenant Management: Store and manage tenant records, contact details, and documentation.
- Lease Management: Create, track, and renew lease agreements with rent schedules and escalation terms.
- Invoicing: Generate GST-compliant invoices, credit notes, and debit notes.
- Payment Tracking: Record and reconcile rent payments against invoices.
- GST and TDS Compliance: Track filing obligations, generate compliance reports, and manage proof documents.
- Financial Reports: Receivables, invoice summaries, GST summaries, and portfolio-level analytics.
- Document Storage: Upload and manage lease agreements, challans, certificates, and other supporting documents.
- Team Collaboration: Multi-user access with role-based permissions and audit logging.
We may add, modify, or discontinue features at any time. Material changes that affect existing functionality will be communicated via email or in-app notice with reasonable advance notice.
6. Subscription Plans, Billing, Taxes, and Payment Terms
- The Platform offers multiple subscription tiers with varying feature limits and usage allowances.
- Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase.
- All fees are quoted in Indian Rupees (INR) and are inclusive of 18% GST. Invoices itemize the taxable value and GST components as required for GST reporting.
- Payments may be made via the payment methods available on the Platform (UPI, cards, net banking, or other supported methods).
- Failed payments may result in service suspension. We will make reasonable attempts to notify you before suspending access.
- We reserve the right to revise pricing with at least 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle.
- Refunds, if any, are at the sole discretion of the Company and will be processed in accordance with our Refund Policy.
7. Free Trial and Plan Changes
- New users may be eligible for a free trial period. The duration and features available during the trial will be specified at the time of sign-up.
- At the end of the trial, you may choose a paid plan to continue using the Platform. If no plan is selected, your access may be limited or suspended.
- No payment information is required to start a free trial unless otherwise stated.
- You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.
- Downgrading may result in loss of access to features or data exceeding the limits of the new plan. You are responsible for exporting any data before downgrading.
8. Data Accuracy and User-Provided Information
You are solely responsible for the accuracy, completeness, and legality of all data entered into the Platform, including but not limited to:
- Tenant details, lease terms, and rental amounts
- Invoice amounts, tax calculations, and billing party information
- GSTIN, PAN, and other statutory identifiers
- Payment records and compliance filings
The Platform performs validation checks where possible but does not independently verify the accuracy of user-provided data. Errors in input data may result in incorrect reports, invoices, or compliance records.
9. GST and Compliance Disclaimer
The Platform provides tools to assist with GST and TDS compliance tracking, including task generation, variance calculation, and report generation. However:
- Upaj is not a tax advisory service and does not provide legal, financial, or tax advice.
- The Platform does not file returns on your behalf. You remain solely responsible for the correctness and timely filing of all GST returns, TDS returns, and other statutory obligations.
- Compliance reports generated by the Platform are based on the data you provide and should be verified independently before submission to any government authority.
- We recommend consulting a qualified Chartered Accountant or tax professional for all compliance matters.
- We are not liable for any penalties, interest, or losses arising from incorrect filings, missed deadlines, or reliance on Platform-generated reports without independent verification.
10. Prohibited Uses
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems
- Reverse-engineer, decompile, or disassemble any part of the Platform
- Use the Platform to store or transmit malicious code, viruses, or harmful data
- Resell, sublicense, or commercially redistribute access to the Platform without written permission
- Use automated scripts, bots, or scrapers to access the Platform in a manner that degrades performance for other users
- Upload false, misleading, or fraudulent information
- Impersonate another person or entity
11. Intellectual Property Rights
- The Platform, including its design, code, features, documentation, trademarks, and branding, is the intellectual property of Dot Labs Web Solutions Private Limited and is protected under applicable Indian and international laws.
- Your use of the Platform does not grant you any ownership rights over the Platform or its underlying technology.
- You retain ownership of all Content you upload to the Platform. By uploading Content, you grant us a limited, non-exclusive licence to store, process, and display it solely for the purpose of providing the Services to you.
- We do not claim ownership of your data and will not use it for purposes unrelated to providing the Services.
12. Data Privacy and Security
- We collect, store, and process personal data in accordance with our Privacy Policy and applicable Indian data protection laws.
- All data is encrypted in transit (TLS) and at rest.
- We use industry-standard security practices including role-based access controls, audit logging, and regular security reviews.
- We do not sell, rent, or share your personal data with third parties for marketing purposes.
- In the event of a data breach that affects your personal information, we will notify you in accordance with applicable law.
- You are responsible for maintaining the security of your own credentials and devices.
13. Third-Party Integrations and Links
The Platform may integrate with or contain links to third-party services, including payment gateways, cloud storage providers, and analytics tools. These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.
14. Service Availability, Maintenance, and Downtime
- We aim to maintain high availability of the Platform but do not guarantee 100% uptime.
- Scheduled maintenance will be communicated in advance via email or in-app notification where practicable.
- We are not liable for temporary unavailability caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.
- In the event of extended unplanned downtime exceeding 72 continuous hours, affected users on paid plans may request a pro-rata credit for the downtime period.
15. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Our total cumulative liability to you for any claims arising from or related to the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- We are not liable for losses arising from your reliance on Platform-generated data without independent verification.
16. Indemnification
You agree to indemnify, defend, and hold harmless Dot Labs Web Solutions Private Limited, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform in violation of these Terms
- Content you upload or enter into the Platform
- Your breach of any applicable law or regulation
- Any dispute between you and a third party (such as a tenant, billing party, or tax authority) related to data managed through the Platform
17. Suspension and Termination
- By you: You may cancel your subscription and close your Account at any time through the Platform settings or by contacting us at support@upaj.com. Cancellation takes effect at the end of the current billing period.
- By us: We may suspend or terminate your access if you breach these Terms, fail to pay fees, engage in prohibited activities, or if required by law. We will provide reasonable notice where practicable.
- Upon termination, your right to access the Platform ceases immediately, except as provided in Section 18 regarding data retention.
18. Data Retention and Deletion After Termination
- Upon Account cancellation or termination, we will retain your data for a period of 30 days to allow you to export your information.
- During this retention period, you may request a full export of your data by contacting support@upaj.com.
- After the 30-day retention period, your data will be permanently deleted from our systems, except where retention is required by applicable law (such as tax or financial record-keeping obligations).
- We are not responsible for data that is not exported within the retention period.
19. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes amicably through good-faith negotiation for a period of at least 30 days.
20. Changes to Terms
We reserve the right to update or modify these Terms at any time. When we make material changes:
- We will update the "Effective Date" at the top of this page.
- We will notify you via email or in-app notification at least 15 days before the changes take effect.
- Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the changes.
- If you do not agree to the updated Terms, you may cancel your Account before the changes take effect.
